Please read these terms carefully before using Proxvera.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Axveth LLP, a limited liability partnership registered in India, operating the Proxvera platform ("we", "us", "our", "Proxvera", or the "Service"). By accessing or using Proxvera, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Proxvera platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Proxvera on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

2. Service Description

Proxvera is a cloud-based hospitality operating system designed for hotels, resorts, restaurants, and other hospitality properties. The platform includes modules for property management (PMS), front-desk operations, reservations, food & beverage point-of-sale (POS), procurement, inventory, finance & accounting (USALI-compliant), housekeeping, channel management, online booking engine, revenue management, guest CRM, and related functionality.

We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will provide reasonable notice before discontinuing any material feature.

3. Account Registration & Responsibilities

To use Proxvera, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Ensuring that all users you authorise comply with these Terms
  • Promptly notifying us of any unauthorised access or security breach

You must be at least 18 years of age to create an account.

4. Subscription & Billing

4.1 Plans & Pricing

Proxvera is offered on a subscription basis. Current plans, features, and pricing are available on our website. We reserve the right to change pricing with at least 30 days' written notice before the next billing cycle.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, your account will require an active subscription to continue using the Service. No credit card is required to start a trial.

4.3 Renewals

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be notified before any automatic renewal.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except where required by applicable law.

4.5 Payment

Payments are processed through our third-party payment processors (Razorpay and/or Stripe). All fees are exclusive of applicable taxes (GST, VAT, etc.), which will be added at checkout. Overdue payments may result in suspension of access to the Service.

5. Data Ownership

You own your data. All data you enter into Proxvera — including guest records, reservation data, financial records, inventory data, and any other business information — remains your property at all times. We do not claim any ownership rights over your data.

We process your data solely to provide and improve the Service, as described in our Privacy Policy. We will not sell, rent, or share your data with third parties for their marketing purposes.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorised access to any part of the Service or its related systems
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or other malicious code
  • Use automated tools (bots, scrapers) to access the Service without our written permission
  • Resell, sublicense, or redistribute access to the Service
  • Store or process data that violates applicable data protection laws

We reserve the right to suspend or terminate accounts that violate this policy.

7. Service Level Agreement

We target 99.5% uptime for the Proxvera platform, measured on a monthly basis. This excludes scheduled maintenance windows, which will be communicated in advance.

In the event of downtime exceeding this target, eligible customers on paid plans may request service credits. Credits are calculated as a percentage of the monthly subscription fee proportional to the downtime experienced. Service credits are the sole and exclusive remedy for any downtime or service disruption.

We will make commercially reasonable efforts to notify you of any planned maintenance at least 48 hours in advance.

8. Intellectual Property

The Proxvera platform — including its software, design, user interface, documentation, logos, trademarks, and all related intellectual property — is and remains the exclusive property of Axveth LLP. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription term.

As stated in Section 5, you retain full ownership of all data you input into the platform.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
  • In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Axveth LLP, its partners, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) the data you store or process through the Service.

11. Termination

Either party may terminate this agreement:

  • By you: Cancel your subscription at any time from account settings.
  • By us: We may suspend or terminate your account if you breach these Terms, fail to pay subscription fees after reasonable notice, or if we are required to do so by law.

We will provide at least 15 days' notice before termination, except in cases of material breach or legal requirement.

12. Data Export on Termination

Upon termination or expiry of your subscription, you will have a 30-day window to export all your data from the platform. Proxvera provides built-in data export tools that allow you to download your data in standard formats (CSV, PDF).

After the 30-day export window, we will permanently delete your data from our active systems within 90 days. Residual copies in encrypted backups will be purged in accordance with our standard backup rotation schedule.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or through a prominent notice within the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your subscription before the changes take effect.
